The first problem I am not sure of. What is the size of the .sql file? That could be the problem.

As for the second problem, it means a password error. Where exactly are you getting this error at?

PM me these details, along with your cpanel login/pass and the location of the .sql (or .gz) file so I can look into it and find the answer for you.
